STARTUPS AND TECHNOLOGY SECTOR

Our firm’s practice group specializing in the Technology Sector, Startups, and Entrepreneurship is designed to provide rigorous, cross-functional legal support tailored to both highly complex operational projects and digital innovation, as well as to the real dynamics of venture capital and the creation of high-growth companies. Our practice requires us to go beyond mere regulatory compliance to gain a precise understanding of our clients’ business models, data architecture, and technical terminology, ensuring that initial decisions regarding equity structure and governance secure the project’s future viability and ability to attract capital.

We support technology companies and emerging projects throughout their entire lifecycle: from corporate incorporation, the design of customized articles of incorporation, and the drafting of complex shareholder agreements, to the negotiation of software contracts, the deployment of cloud solutions, e-commerce platforms, and artificial intelligence tools. We also provide legal counsel for funding rounds (seed, venture capital, and growth), facilitating investor participation by negotiating term sheets, investment agreements, and shareholder agreements that include drag-along, tag-along, or preferential liquidation clauses.

We place a strong emphasis on the comprehensive protection of intellectual and industrial property and trade secrets, ensuring from the outset the proper ownership and transfer of strategic assets—such as source code, algorithms, technology patents, and licenses—developed by founders, employees, and external collaborators. Through a proactive approach—and without resorting to standardized solutions—we address privacy, international data transfers, and the liability of governing bodies arising from the use of technology, designing corporate governance frameworks that prevent corporate deadlocks and safeguard the company’s stability as it scales.

The area adapts regulations to the company’s operational reality and is coordinated directly with our Commercial Law and Complex Litigation areas. This synergy enables us to protect the company’s reputation and assets—whether during the preventive and contractual phases or in the event of an exit (such as a merger or acquisition), security breaches, or legal and arbitration disputes related to intellectual property, breach of contract, or disagreements among partners.
