The firm’s Startups and Entrepreneurship practice is designed to provide rigorous legal support tailored to the real dynamics of venture capital and the creation of high-growth companies. We understand that the decisions made in the early stages—from the structuring of the shareholder base to governance provisions—have a decisive impact on the company’s viability, its ability to attract capital, and its future value.

Our practice covers the entire lifecycle of a startup: from corporate incorporation, the drafting of customized articles of incorporation, and the preparation of complex shareholder agreements, to the protection of intellectual and industrial property and trade secrets, commercial contracting, and regulatory compliance. We place a strong emphasis on safeguarding intellectual and industrial property and trade secrets, ensuring from the outset the proper ownership and transfer of technology developed by founders, employees, and external collaborators.

As the company evolves, the department takes the lead in providing legal counsel for funding rounds (seed, venture capital, and growth), facilitating the entry of investors by negotiating term sheets, investment agreements, and shareholder agreements that include drag-along, tag-along, or preferential liquidation clauses.

Our firm’s work is distinguished by the active prevention of corporate conflicts among founders, directors, and investors. Thanks to our specialization in corporate governance and directors’ liability, we design control frameworks that prevent corporate deadlocks and safeguard the company’s stability as it scales. In the event of disputes or during exit processes (exit, merger, or acquisition), the practice works in coordination with the Complex Litigation practice to ensure the defense of the interests entrusted to us.
